the CEO and audit committee either knew of material fraud or they did not.  If they knew, then they are criminals and should stock up on the soap and cigarettes.  If they did not, then they are negligent to the level of incompetence, because the fraud is material and by definition they said they had controls in place to detect or prevent it.  

Where were the (external financial) auditors?

Bet this won&#039;t win me friends.
